Trazy Affiliate Program

1.1 The Affiliate must accurately complete and submit the application to become an affiliate. After Trazy reviews the Affiliate’s application, Trazy will notify the Affiliate of acceptance or rejection of the Affiliate Website to the Affiliate’s registered email, generally within two (2) business days. Trazy may accept or reject the Affiliate’s application at Trazy’s sole discretion.

1.2 The Affiliate is responsible for providing the accurate and up-to-date account information in the Trazy Affiliate Portal.

Subject to Trazy’s acceptance of the Affiliate and the Affiliate’s continued compliance with the terms and conditions of this Agreement, the Affiliate agrees as follows:

2.1 Have sole responsibility for the development, operation, and maintenance of, and all content on or linked to, the Affiliate Website.

2.2 Shall not copy or resemble (i) the design, (ii) domain names (including sub-domains), (iii) look and feel, (vi) Trazy logo of the Trazy Website, or create the impression that the Affiliate Website is endorsed by Trazy Website or a part of the Trazy Affiliate Portal.

2.3 Ensure that all materials posted on the Affiliate Website used in connection with Trazy Affiliate Program (i) do not advocate discrimination based on race, sex, religion, nationality, disability, sexual orientation, political stance or age; (ii) do not promote or engage in illegal activities; (iii) do not infringe upon intellectual property rights of third parties; or (vi) do not contain any material which is harmful, threatening, defamatory, obscene, promotes violence or otherwise contains materials that Trazy informs the Affiliate that it considers objectionable. Any violation of the aforesaid terms may lead to the termination of the Agreement as the Affiliate and the forfeiture of any outstanding payments due.

2.4 Shall duly maintain the contents of the Affiliate Websites accurate and up-to-date. The Affiliate shall promptly correct any errors or omissions on the Affiliate Websites and after becoming aware of such errors or being notified by Trazy.

2.5 Comply with all (i) obligations, requirements and restrictions under this Agreement and (ii) laws, rules and regulations as they relate to the Affiliate’s business, the Affiliate Website or the Affiliate’s use of the Links. The Affiliate shall immediately comply with any request made by Trazy to adhere to and comply with this Clause 2.

2.6 The Affiliate agrees and acknowledges that pending any compliance or implementation of the reasonable requests made by Trazy or in the event that the Affiliate does not promptly comply with or adhere to all such requests of Trazy under or pursuant to this Clause 2, Trazy shall be entitled to postpone its (payment) obligations under this Agreement or immediately terminate this Agreement.

2.7 Shall not programmatically evaluate and extract information (including guest reviews) from any part of the Trazy Website.

2.8 Shall not make any static copy of the Content or any part of Trazy Website.

2.9 Shall not to take or omit to take any action which may affect Trazy's relationship with the Providers. The Affiliate agrees not to cause or permit to be done anything which may cause Trazy to be excluded from the process of booking with any Provider. Moreover, the Affiliate shall not in a negative or detrimental way speak (i.e. badmouth) of or comment on (the business of) Trazy and shall not persuade or attempt to induce any third party to terminate its contract with or reduce its dealings and business with Trazy.

2.10 Shall not link any Ad on any Third Party Website other than the Affiliate’s website nor provide information stored on Trazy Affiliate Program to any third party. The Affiliate shall safeguard and keep the user ID and password confidential and safely stored and not disclose it to any person other than those who need to have access to the Affiliate Platform. The Affiliate shall immediately notify Trazy of any (suspected) security breach or improper use.

2.11 Shall not engage in any technique or method or such other restrictions a set out in any Spamming Regulations. The Affiliate covenants, undertakes and warrants to promptly adhere to, observe and comply with the Spamming Regulations (and all reasonable requests made by Trazy in this respect) in order to avoid any breach by Trazy Website or the Affiliate Websites of such policies due to or in respect of the Affiliate Websites.

2.12 Shall not make any Bookings or reservations on Trazy Website, via Ads with the purpose of reselling such booking or reservation to or for the benefit of a third party.

3.1 Trazy will make available to the Affiliate via Trazy Affiliate Program Ads which the Affiliate may display on the Affiliate Website owned or controlled by the Affiliate in such way as to maximize generation of Validated Purchases subject to terms of this Agreement.

3.2 Trazy will pay a commission to the Affiliate for each Validated Purchase. The commission is determined at a rate of up to 4% of the revenue generated by Validated Purchases.

3.3 Trazy holds the right to adjust, modify or terminate the commission agreement.

3.4 Trazy agrees to ensure tracking of Validated Purchases for up to 6 months from the date of the end user's initial click on a Link. Such tracking will be done via placement of electronic cookie, containing identification of the Affiliate as the last referral source, on the user’s device ("the Cookie"). The Affiliate will earn a fee for any Validated Purchase generated by users that are identified to carry the Cookie, provided that the user has consented to the use of cookies. No express or implied warranty is given for the persistence or effectiveness of this electronic cookie.

3.5 The Affiliate must ensure that Trazy is provided with all necessary information to enable payment in accordance with the Affiliate's selected payment method- PayPal.

3.6 Trazy will pay all Payable Commissions within 45 days after the end of the month in which the Commission becomes a Payable Commission (when the account balance reaches the Minimum Threshold of $100). Trazy will provide payment via PayPal account stated by the Affiliate on Trazy Affiliate Website. Trazy is not responsible for any banking and transaction fees applied by the Affiliate's financial institution.

3.7 Trazy will maintain records of all transactions made pursuant to this Agreement. Trazy will provide the Affiliate with a number of reports that include information on the number of Validated Purchases generated and the Commission earned by the Affiliate.

3.8 Payable Commissions are inclusive of any and all taxes. The Affiliate is responsible for any taxes that may be due on the services provided to the Affiliate. In no case will any additional compensation be paid to the Affiliate for taxes. If the withholding of any tax is required in respect of any payment to the Affiliate, Trazy will:
- withhold the applicable amount from such payment; and
- pay such amount to the relevant authorities in accordance with any applicable laws.

Except as otherwise provided in this Agreement or with the consent of Trazy, the Affiliate agrees that all information, including, without limitation, the terms of this Agreement, business and financial information, customer lists, and pricing and sales information, concerning Trazy or any of our affiliates provided by or on behalf of any of them shall remain strictly confidential and secret and shall not be utilized, directly or indirectly, by the Affiliate for any purpose other than the Affiliate’s participation in Trazy Affiliate Program during and after termination of this Affiliation. The Affiliate shall not use any information obtained from Trazy Affiliate Program to develop, enhance or operate a service that competes with Trazy Affiliate Program, or assist another party to do the same.

This Agreement shall commence on the date of our approval of Trazy Affiliate Program application and shall continue thereafter until terminated as provided herein. The Affiliate may terminate participation in Trazy Affiliate Program at any time by removing all Links from the Affiliate Website, deleting all copies of the Links. Trazy may terminate the Affiliate’s participation in this Agreement with immediate effect or suspend payment of Payable Commissions at any time and for any reason which Trazy deems appropriate with or without prior notice to the Affiliate by disabling the Links or providing the Affiliate with a written notice. Upon termination of the Affiliate’s participation in this Agreement for any reason, the Affiliate will immediately cease all use of and delete all Ads, and all Trazy or Provider intellectual property, and will cease representing as a Trazy or Provider affiliate for such one or more Ads. All rights to validly accrued payments, causes of action and any provisions, which by their terms are intended to survive termination, shall survive any termination.

Trazy may modify this Agreement at any time with immediate effect by posting the new agreement on Trazy Affiliate Website. The Affiliate will be bound to the terms of the modified Agreement at the time it is posted on Trazy Affiliate Website. If the Affiliate does not agree with any modified terms of this Agreement, the Affiliate may elect to terminate the Agreement.

Trazy grants the Affiliate a non-exclusive, non-transferable, revocable right to use the Ads and to access Trazy Website through the Ads solely in accordance with the terms of this Agreement, for the sole purpose of identifying the Affiliate Website as a participant in Trazy Affiliate Program and assisting in increasing sales through Trazy Affiliate Portal. The Affiliate may not alter, modify, manipulate or create derivative works of the Ads or any Trazy graphics, creative, copy or other materials owned by, or licensed to, Trazy in any way. The Affiliate is only entitled to use the Ads to the extent that the Affiliate is a member in good standing of Trazy Affiliate Program. Trazy may revoke the Affiliate’s license anytime by giving the Affiliate a written notice. Except as expressly stated herein, nothing in this Agreement is intended to grant the Affiliate any rights to any of Trazy's trademarks, service marks, copyrights, patents or trade secrets. The Affiliate agrees that Trazy may use any suggestion, comment or recommendation the Affiliate chooses to provide to Trazy without compensation. All rights not expressly granted in this Agreement are reserved by Trazy.

8.1 Trazy disclaims and excludes all warranties and representations (express or implied) in relation to Trazy Website, Trazy Affiliate Program and/or Providers including without limitation any warranty or representation in relation to:
- fitness for purpose;
- viruses or other harmful components;
- merchantable quality; or
- non-infringement of third party rights.

8.2 Neither Trazy nor the Providers shall be liable to the Affiliate in respect of any loss or damage (including for loss of profits, wasted expenditure, anticipated savings, loss of goodwill, loss of data or for any indirect, consequential or special loss or damage whether or not the loss or damage was foreseeable or contemplated by Trazy/Provider or whether or not the Trazy/Provider was advised of the possibility of such loss or damage) which the Affiliate may suffer or incur in its participation with Trazy Affiliate Program or in respect of a failure or omission on the part of Trazy to comply with its obligations under this Agreement.

8.3 Without limiting clauses 8.1 and 8.2, to the extent that Trazy is found to be liable to the Affiliate under this Agreement, such liability shall be limited to the total of the Commissions paid to the Affiliate within the immediately preceding twelve (12) month period.

If this contract infringes on any legal issues, then the laws of Republic of Korea shall exclusively prevail. If there is a lawsuit resulting from an issue with this contract, then the Seoul City local courthouse will be the competent court.
